Welcome to UNYQUE LLC (“UNYQUE,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, services, AI tools, assessments, digital products, licensed intellectual property, and related content (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Services Overview

UNYQUE LLC provides professional services that may include, but are not limited to:

  • Leadership development and executive coaching

  • Workforce and organizational development consulting

  • Community engagement and alignment consulting

  • AI education, advisory services, and decision-support tools

  • Digital assessments, frameworks, prompts, methodologies, and reports

  • Licensed intellectual property, certifications, workshops, and speaking engagements

All Services are provided for educational, developmental, and strategic purposes.

2. No Guarantees or Professional Substitution

UNYQUE LLC does not guarantee specific outcomes, results, employment decisions, promotions, funding, financial success, or organizational performance.

You acknowledge that:

  • Outcomes vary based on implementation and context

  • Our Services do not replace legal, medical, financial, or psychological advice

  • You are solely responsible for decisions and actions taken based on insights provided

3. User Responsibilities

You agree to:

  • Provide accurate and lawful information

  • Use Services only for lawful, ethical, and intended purposes

  • Maintain confidentiality of proprietary materials

  • Refrain from copying, misusing, or redistributing content

Misuse of Services may result in suspension or termination.

4. Intellectual Property Ownership

All content, tools, assessments, frameworks, prompts, models, methodologies, reports, graphics, logos, and materials provided by UNYQUE LLC are the exclusive intellectual property of UNYQUE LLC, unless otherwise stated.

Nothing in these Terms transfers ownership rights to you.

5. AI Tools, Assessments, and Digital Products

a. Nature of AI Tools

UNYQUE LLC’s AI-powered tools and assessments:

  • Provide decision-support and insight, not directives

  • Are probabilistic and informational

  • Require human judgment and validation

They are not intended for sole reliance in employment, promotion, termination, compensation, legal, or medical decisions.

b. No Automated Decision-Making

You agree not to use AI outputs as the exclusive basis for high-stakes decisions affecting individuals or organizations.

6. Licensed Use of UNYQUE Intellectual Property

Unless governed by a separate written agreement, you are granted a limited, non-exclusive, non-transferable, revocable license to use UNYQUE LLC’s tools and materials solely for:

  • Your personal use, or

  • Internal organizational use by the authorized entity

You may not:

  • Resell, sublicense, distribute, or publicly display materials

  • Reverse engineer or extract prompts, logic, or models

  • Train competing AI systems using UNYQUE tools or outputs

  • Claim UNYQUE IP as your own

7. Client Data and Inputs

You retain ownership of data you submit (“Input Data”).

By submitting Input Data, you grant UNYQUE LLC the right to:

  • Process data to deliver Services

  • Improve tool functionality using aggregated and de-identified data only

UNYQUE LLC does not sell client data or use identifiable client data to train public or third-party AI models.

8. Ownership and Use of Outputs

Unless otherwise stated:

  • AI-generated outputs are licensed to you for internal use only

  • UNYQUE LLC retains ownership of underlying systems, logic, scoring models, and methodologies

  • Outputs may not be published, sold, or redistributed without written permission

9. Ethical and Lawful Use

You agree to use Services responsibly, including compliance with:

  • Employment and labor laws

  • Anti-discrimination regulations

  • Data privacy and AI governance requirements

UNYQUE LLC may suspend access for unethical, unlawful, or harmful use.

10. Payments, Fees, and Refunds

  • Fees are disclosed prior to purchase or engagement

  • Payment terms are due as agreed

  • All sales are final, unless otherwise stated in writing

  • Cancellation or rescheduling policies are posted separately or included in client agreements

11. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and non-public information, except where disclosure is required by law or information is publicly available.

12. Third-Party Platforms

UNYQUE LLC may reference or integrate third-party tools. We are not responsible for their content, availability, or data practices. Use of third-party platforms is at your own risk.

13. Disclaimers and Limitation of Liability

Services are provided “as is” and “as available.”

To the fullest extent permitted by law:

  • UNYQUE LLC disclaims all warranties

  • UNYQUE LLC is not liable for indirect, incidental, or consequential damages

  • Total liability shall not exceed the amount paid for the specific Service giving rise to the claim

14. Indemnification

You agree to indemnify and hold harmless UNYQUE LLC from claims arising from:

  • Your misuse of Services

  • Violation of these Terms

  • Infringement of third-party right

15. Termination

UNYQUE LLC may suspend or terminate access to Services:

  • For breach of these Terms

  • Upon license expiration

  • For misuse or ethical violations

Upon termination, all use of licensed materials must cease.

16. Governing Law

These Terms are governed by the laws of the state in which UNYQUE LLC is registered, without regard to conflict of law principles.

17. Updates to These Terms

We may update these Terms from time to time. Continued use of Services constitutes acceptance of the revised Terms.
